Partner Programme Terms and Conditions

These Partner Programme Terms and Conditions (“Partner Terms”) govern your participation in the Passage Partner Programme operated by GetPassage Ltd (“Passage”, “we”, “us”, “our”). By signing up as a partner, you (“Partner”, “you”, “your”) agree to be bound by these Partner Terms in addition to our general Terms of Service and Privacy Policy.

1. The Partner Programme

1.1. The Passage Partner Programme allows funeral directors and funeral service providers (“Partners”) to refer bereaved families to the Passage bereavement support platform in exchange for listing, branding, and placement benefits as described below.

1.2. Passage provides a bereavement support service to families at no cost to the family. The Partner Programme is a separate paid service provided to funeral directors.

1.3. These Partner Terms may be updated from time to time. We will notify you of material changes by email. Continued use of the Partner Programme after notification constitutes acceptance of the updated terms.

2. Partnership Tiers

2.1. The Partner Programme offers three tiers of partnership, each with different features, benefits, and pricing:

2.1.1. Bronze — “Listed Partner” (£99 per month)

  • A unique referral link attributed to your funeral home
  • Listing in the Passage partner directory
  • Access to a basic partner portal showing referral counts
  • Standard referral attribution

2.1.2. Silver — “Trusted Partner” (£299 per month)

  • All Bronze features
  • A “Trusted Partner” verified badge displayed on your listing and partner page
  • Priority placement in search results and the partner directory
  • Access to a full analytics dashboard with detailed referral data and conversion tracking
  • Co-branded printable materials including an A5 aftercare guide with your logo and QR code
  • Logo upload and profile customisation on your partner page
  • Monthly summary email with referral statistics

2.1.3. Gold — “Exclusive Partner” (£750 per month)

  • All Silver features
  • Territorial exclusivity: you are the sole Gold partner for your designated town or area
  • A premium “Exclusive Partner” badge with top placement in all local search results
  • Lead priority routing: bereaved families in your area are directed to you first
  • Featured placement on family plan preview pages for users in your area
  • Dedicated account support with priority response

2.2. You may upgrade or downgrade your tier at any time. Changes take effect at the start of your next billing period. Downgrading from Gold releases your territorial exclusivity immediately upon the downgrade taking effect.

2.3. Passage reserves the right to modify the features, pricing, and availability of any tier at any time with 30 days' written notice.

3. Territorial Exclusivity (Gold Tier)

3.1. Gold tier Partners are granted non-exclusive, revocable use of a designated geographical area (“Territory”) as their exclusive coverage zone. Only one Gold tier Partner may hold a given Territory at any time.

3.2. Passage retains sole and absolute discretion to define, assign, modify, subdivide, merge, or reassign Territories at any time and for any reason. Territory boundaries are determined by Passage and may not correspond to any administrative, postal, or municipal boundary.

3.3. Territorial exclusivity applies only to Gold tier placement and lead routing within the Passage platform. It does not confer any exclusive right to operate a funeral service, to exclude competitors from the Passage platform at other tiers, or to prevent Passage from displaying other funeral service providers sourced from third-party directories.

3.4. If you cancel or are suspended from the Gold tier, your Territory is released immediately and may be assigned to another Partner without notice to you.

3.5. Passage makes no representation or guarantee as to the volume of referrals, enquiries, or traffic a Territory will generate. Territorial assignment does not constitute a guarantee of commercial benefit.

4. Payment and Billing

4.1. Partnership fees are billed monthly in advance via Stripe. By subscribing to a tier, you authorise Passage to charge your designated payment method on a recurring monthly basis.

4.2. All prices are stated in pounds sterling (GBP) and are exclusive of VAT where applicable. VAT will be added at the prevailing rate where required by law.

4.3. You may cancel your partnership at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

4.4. If a payment fails, Passage may suspend your partnership and associated features until payment is received. Stripe will attempt to retry failed payments in accordance with its standard retry schedule.

5. Suspension and Termination

5.1. Passage reserves the right to suspend or terminate your partnership at any time, without prior notice, and without providing a reason. This includes but is not limited to suspension or termination for breach of these Partner Terms, misuse of the platform, conduct that Passage considers harmful to its reputation or the interests of bereaved families, or for any other reason at Passage's sole discretion.

5.2. Passage shall have no liability to you whatsoever arising from or in connection with the suspension or termination of your partnership, including but not limited to loss of revenue, loss of referrals, loss of territorial exclusivity, loss of data, or any indirect, consequential, or special damages.

5.3. Upon termination, your referral link will be deactivated, your partner page will be removed, and any territorial exclusivity will be released. You will retain access to your partner portal for 30 days after termination to download any data.

5.4. You may terminate your partnership at any time by cancelling your subscription through the partner portal or by contacting us at partners@getpassage.co.uk.

6. Service Availability and Best Endeavours

6.1. The Passage platform and Partner Programme are provided on a best endeavours basis. Passage does not guarantee uninterrupted, error-free, or continuous availability of the platform, the partner portal, referral tracking, lead routing, search placement, or any other feature or service.

6.2. Passage may perform maintenance, updates, or modifications to the platform at any time, which may temporarily affect the availability or functionality of partner features. We will endeavour to provide reasonable notice of planned maintenance where practicable.

6.3. Passage does not guarantee the accuracy, completeness, or reliability of any analytics, referral data, or reporting provided through the partner portal. Such data is provided for informational purposes only.

7. Limitation of Liability

7.1. To the fullest extent permitted by law, Passage disclaims all liability arising from or in connection with your participation in the Partner Programme. This includes, without limitation:

  • Loss of revenue, profit, business, or anticipated savings
  • Loss of referrals, leads, or commercial opportunities
  • Loss of territorial exclusivity or placement
  • Loss of or damage to data
  • Loss of reputation or goodwill
  • Any indirect, consequential, special, incidental, or punitive damages

7.2. In no event shall Passage's total aggregate liability to you in connection with the Partner Programme exceed the total fees paid by you to Passage in the three (3) months immediately preceding the event giving rise to the claim.

7.3. Nothing in these Partner Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

8. Partner Obligations

8.1. You represent and warrant that you are a duly registered funeral director or funeral service provider authorised to operate in the United Kingdom or the Channel Islands.

8.2. You shall not misrepresent the nature of the Passage service to bereaved families, including but not limited to implying that Passage provides legal, financial, or medical advice.

8.3. You shall not use your referral link, partner page, or co-branded materials in any manner that is misleading, deceptive, defamatory, or otherwise harmful to the reputation of Passage or bereaved families.

8.4. You are responsible for ensuring that any use of Passage materials (including co-branded guides and printable materials) complies with all applicable laws, including data protection legislation.

9. Intellectual Property

9.1. All intellectual property in the Passage platform, partner portal, co-branded materials, and associated content remains the property of Passage. Your participation in the Partner Programme grants you a limited, non-exclusive, non-transferable, revocable licence to use Passage branding and materials solely for the purpose of participating in the Partner Programme.

9.2. You grant Passage a non-exclusive licence to display your funeral home name, logo, and contact details on the Passage platform for the duration of your partnership.

10. Data Protection

10.1. Passage processes personal data in accordance with its Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR).

10.2. Partner analytics data (referral counts, conversion rates) is aggregated and anonymised. Individual family data is not shared with Partners.

10.3. You are responsible for complying with applicable data protection laws in relation to any personal data you collect or process in connection with your participation in the Partner Programme, including any data collected through printed materials or QR codes.

11. Governing Law and Disputes

11.1. These Partner Terms are governed by and construed in accordance with the laws of Jersey, Channel Islands.

11.2. Any dispute arising from or in connection with these Partner Terms shall be subject to the exclusive jurisdiction of the courts of Jersey, Channel Islands.
